Terms of Service
Last updated: 18 October 2026
Please read these Terms carefully. They explain what SorenPay offers today, which is information, an early-bird list, documentation and a test-data demo, and the rules for using them.
1. These Terms
These Terms of Service (the "Terms") are an agreement between you and Sorenpay LLC, a Wyoming limited liability company ("SorenPay", "we", "us"). They apply to sorenpay.com, demo.sorenpay.com, our documentation, our early-bird list and any related pages, emails, sandbox keys and developer materials (together, the "Site").
By using the Site, joining the early-bird list or creating a demo account, you agree to these Terms. If you use the Site for a business, you confirm you are allowed to accept these Terms for it, and "you" includes that business. If you do not agree, do not use the Site.
2. What SorenPay is today
SorenPay is pre-launch software for business payments. Today the Site offers information about the product, an early-bird list, documentation and a demo that uses test data. No live accounts, live payments or live cards are opened or provided through the Site today.
SorenPay is a technology company. It is not a bank and does not take deposits, lend money or hold customer funds. When live accounts open, licensed partner banks and payment providers will hold and move customer money, and SorenPay will provide the software and the record of each payment.
SorenPay does not accept, trade, exchange or hold cryptocurrency or stablecoins for anyone, and does not move them on anyone's behalf.
Pages on the Site describe features we are building. Features marked "Coming soon" are not available. Any feature becomes available only when we say so, and only once the partner providing it has approved it. The first live accounts are planned for businesses in the United States, in U.S. dollars.
3. The early-bird list
Joining the early-bird list means we may email you about SorenPay's launch and how to apply for an account. It does not open an account, create a customer relationship, reserve any terms or pricing, or guarantee that an application will be approved.
You can leave the list at any time by using the unsubscribe link in any email or by writing to support@sorenpay.com. Our Privacy Policy explains how we handle your email address.
4. The demo and sandbox
The demo at demo.sorenpay.com, and any sandbox API keys, are for evaluating the product. Balances, payments, cards and account details in the demo are simulated or come from our partners' test environments. No real money moves, and nothing in the demo is a real account, card or payment instruction.
- Do not send real money to any account details shown in the demo.
- Do not enter real card numbers, bank credentials or other people's personal information. Use test data.
- We may reset, change, limit or end the demo, or remove demo accounts and data, at any time.
- We may refuse or remove access to the demo at our discretion.
5. When live accounts open
Live accounts will be governed by a separate account agreement and by the terms of the partner banks and providers that hold and move the money. We will show you those documents before you apply, and you will need to accept them to open an account. If they conflict with these Terms on a point about an account, they control for that point.
Applying for an account will require identity and business verification, carried out with the help of an identity verification provider, as anti-money-laundering and sanctions laws require. We or our partners may decline any application.
6. Using the Site
You must be at least 18 to use the Site. When you use it, you agree not to:
- break any law, including sanctions and export control laws, or help anyone else do so;
- give us false information or pretend to be someone else;
- use the Site if you, or a business you act for, are on a U.S. sanctions list or located in a country or region subject to comprehensive U.S. sanctions;
- probe, scan or test the Site's security, or get around any limit or access control, except as allowed below;
- overload, disrupt or harm the Site, or upload malicious code, or access it by automated means at a volume that affects other users;
- copy, resell or reverse engineer the Site, except where the law allows it.
If you think you have found a security vulnerability, please report it to security@sorenpay.com and give us a reasonable time to fix it before telling anyone else. Do not access or change other people's data while doing so.
7. Documentation and developer materials
Our documentation, code samples, SDKs and sandbox keys are provided so you can evaluate and build against SorenPay. Keep any keys we give you secret, and use them only in the sandbox unless we tell you otherwise in writing. We may change or withdraw these materials and revoke keys at any time. Code samples are provided as examples; you are responsible for testing anything you build.
8. Intellectual property and feedback
The Site, its content and software, and the SorenPay name and logo belong to Sorenpay LLC or its licensors. We give you a limited, personal, non-exclusive, non-transferable and revocable right to use the Site in line with these Terms. You may not use our name or logo without our written permission. If you send us feedback or suggestions, we may use them without any obligation to you.
9. Third-party services and links
The Site may link to, or let you connect, services run by others, such as AI assistants, developer tools or partner websites. We do not control them and are not responsible for them. Your use of them is governed by their own terms and privacy policies.
10. Information only
Content on the Site is general information about SorenPay. It is not financial, investment, tax or legal advice, and it is not an offer to provide any financial service. Examples, figures and descriptions of planned features may change before launch.
11. Disclaimers
The Site is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Site will be uninterrupted, error-free or secure, that the demo will behave like a live account, or that any feature will launch on any date.
12. Limitation of liability
To the fullest extent the law allows, Sorenpay LLC and its members, officers, employees and partners are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to the Site or these Terms, even if we were told such damages were possible.
To the fullest extent the law allows, our total liability for all claims arising from or related to the Site or these Terms is limited to one hundred U.S. dollars (US$100).
Some places do not allow these exclusions or limits, so some of them may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.
13. Indemnity
To the extent the law allows, you will defend and indemnify Sorenpay LLC and its members, officers and employees against third-party claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.
14. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming and applicable U.S. federal law, without regard to conflict-of-laws rules.
If you have a dispute with us, please first contact legal@sorenpay.com so we can try to resolve it informally within 30 days. If we cannot, the dispute will be decided by the state or federal courts located in Wyoming, and you and we consent to their jurisdiction. Either side may seek urgent relief in any competent court to stop fraud or protect intellectual property.
15. Changes to the Site and these Terms
We may change or stop any part of the Site at any time. We may update these Terms; the "Last updated" date at the top shows when they last changed. If a change is material, we will say so on this page and, where we have your email address and the change affects you, by email. Using the Site after a change takes effect means you accept it.
16. General
These Terms, together with our Privacy Policy, are the whole agreement between you and us about the Site. If any part is found unenforceable, the rest stays in effect. If we do not enforce a right, we have not waived it. You may not transfer these Terms without our consent; we may transfer them to an affiliate or a successor. Neither side is liable for delays caused by events beyond its reasonable control.
